These Terms & Conditions govern your access to and use of the Maxzion IT website, maxzionit.com, and the digital marketing, advertising, SEO, social media marketing, web design and development, email marketing, graphics design, PPC, SEM, branding, SMS marketing, hosting, software development, app development, and related services provided by Maxzion IT.

By accessing our website, requesting a quotation, purchasing our services, or entering into a service agreement with us, you acknowledge that you have read, understood, and agreed to these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.

About Maxzion IT

Maxzion IT is an IT and digital marketing service provider based in Bangladesh. Our services include digital marketing, search engine optimization (SEO), social media marketing, search engine marketing (SEM), pay-per-click advertising (PPC), email marketing, online advertising, branding and promotion, website design and development, graphics design, software development, mobile application development, domain and hosting services, IT consulting, and related solutions.

The services and business information presented on our website may be updated from time to time.

Acceptance of Terms

By using maxzionit.com or engaging Maxzion IT for any service, you agree to:

  • Comply with these Terms & Conditions.
  • Provide accurate and complete information when requested.

Service Agreements and Scope of Work

Specific projects may be governed by a quotation, proposal, invoice, statement of work, service agreement, campaign brief, or other written agreement between Maxzion IT and the client.

Where a separate written agreement exists, the terms of that agreement will apply to the relevant project. If there is a conflict between these Terms & Conditions and a signed service agreement, the signed service agreement will generally take precedence for that project.

The scope of services, deliverables, timelines, fees, revisions, reporting requirements, and other project-specific conditions may vary depending on the service purchased.

Digital Marketing Services

Maxzion IT may provide services including SEO, social media marketing, PPC, SEM, online advertising, email marketing, SMS marketing, content marketing, branding, and other digital marketing activities.

Digital marketing results depend on numerous factors outside our control, including search engine algorithms, advertising-platform policies, competition, market conditions, client website performance, budget, audience behavior, industry trends, and the quality or availability of client-provided materials.

Accordingly, Maxzion IT does not guarantee specific rankings, traffic levels, leads, sales, conversions, revenue, followers, engagement, advertising approval, or other specific marketing results unless expressly guaranteed in a written agreement.

SEO and other organic marketing services are performed using legitimate strategies appropriate to the agreed scope. Search engines and third-party platforms may change their algorithms, policies, ranking systems, or functionality without notice.

Advertising Platforms and Third-Party Services

Digital marketing campaigns may use third-party platforms such as search engines, social media networks, advertising networks, email providers, analytics services, hosting providers, and other technology platforms.

Maxzion IT does not control third-party platforms and is not responsible for:

  • Changes to third-party algorithms or policies.
  • Suspension, restriction, rejection, or termination of advertising accounts.
  • Changes in advertising costs or auction prices.
  • Platform outages or technical failures.
  • Changes to account functionality or available features.
  • Actions taken by third-party platforms because of client content, business practices, or policy violations.

The client remains responsible for ensuring that its products, services, claims, advertisements, websites, and promotional materials comply with applicable laws and third-party platform policies.

Client Responsibilities

The client agrees to provide all information, content, images, logos, credentials, approvals, access permissions, and other materials reasonably required to perform the services.

The client is responsible for ensuring that materials supplied to Maxzion IT do not infringe the intellectual property, privacy, publicity, contractual, or other rights of third parties.

Delays caused by missing information, delayed approvals, unavailable access, changes in requirements, or other client-side dependencies may affect project timelines.

Maxzion IT is not responsible for delays or performance issues caused by inaccurate, incomplete, or late information supplied by the client.

Website and Content Services

For website design, development, content creation, graphics, software, applications, and related services, project specifications and deliverables will be determined by the applicable proposal or service agreement.

Unless otherwise agreed in writing, additional functionality, substantial design changes, additional pages, new integrations, extensive revisions, or requirements outside the original scope may be treated as additional work and may incur additional charges.

Client approval of designs, content, layouts, advertising materials, or other deliverables may constitute acceptance of those materials for production or publication.

Fees and Payment

Service fees, deposits, recurring charges, advertising budgets, third-party charges, and payment schedules will be specified in the applicable quotation, invoice, or service agreement.

Unless otherwise agreed:

  • Payments must be made according to the agreed payment schedule.
  • Third-party advertising spend and platform charges may be separate from Maxzion IT's service fees.
  • Work may be paused where required payments remain overdue.
  • Additional work outside the agreed scope may be billed separately.
  • Taxes, government charges, transaction fees, or third-party costs may be payable by the client where applicable.

An overdue payment may result in suspension of services, campaigns, hosting, development work, or other project activities until the account is brought up to date.

Refunds and Cancellation

Refund and cancellation terms may vary according to the service and the applicable service agreement.

Because digital marketing, advertising, consulting, design, development, and other professional services may involve work performed before cancellation, fees relating to work already completed, committed resources, third-party costs, advertising expenditure, or non-refundable expenses may not be refundable.

Advertising budgets paid to third-party advertising platforms are subject to the applicable platform's refund and cancellation policies.

Clients should review the relevant quotation, invoice, or service agreement before making payment.

Intellectual Property

Unless otherwise agreed in writing, Maxzion IT retains ownership of its pre-existing intellectual property, proprietary processes, templates, methodologies, systems, tools, know-how, frameworks, and reusable materials.

Upon receipt of full payment for a project, ownership or licensed usage rights to the specifically commissioned final deliverables will be transferred or granted to the client according to the applicable agreement.

Third-party materials, fonts, stock images, software, plugins, APIs, platforms, trademarks, and other licensed resources remain subject to their respective owners' terms and licenses.

Maxzion IT does not transfer ownership of third-party intellectual property merely because such materials are incorporated into a client project.

Client Materials and Rights

The client grants Maxzion IT the necessary permission to use client-provided content, trademarks, logos, images, data, account access, and other materials solely for the purpose of providing the contracted services.

The client represents that it has the necessary rights, permissions, and licenses to provide such materials and authorize their use.

The client is responsible for claims arising from materials or instructions supplied by the client that infringe third-party rights or violate applicable laws.

Confidentiality

Each party agrees to use reasonable measures to protect confidential information received from the other party in connection with a project.

Confidential information does not include information that:

  • Is publicly available without breach of these terms.
  • Was already lawfully known to the receiving party.
  • Is independently developed without use of confidential information.
  • Must be disclosed by law or lawful governmental authority.

Confidentiality obligations may continue after completion or termination of a project to the extent permitted by applicable law.

Privacy and Data

Maxzion IT may collect and process information necessary to operate the website, communicate with clients, provide services, process payments, manage projects, and provide customer support.

Any personal information submitted through the website or during a service engagement may be handled in accordance with Maxzion IT's applicable Privacy Policy.

Clients should not provide sensitive personal information through unsecured communication channels unless specifically required and appropriately protected.

Indemnification

The client agrees to indemnify and hold harmless Maxzion IT, its employees, contractors, and representatives from claims, damages, liabilities, costs, and expenses arising from:

  • Client-provided content or materials.
  • Client products, services, advertisements, or business practices.
  • Alleged infringement of third-party rights caused by client materials.
  • Violation of applicable laws or third-party platform policies by the client.
  • Unauthorized or unlawful use of services or accounts by the client.

Termination

Either party may terminate a service arrangement according to the termination provisions contained in the applicable service agreement.

Maxzion IT may suspend or terminate services where the client:

  • Fails to make required payments.
  • Materially breaches these Terms & Conditions.
  • Requests unlawful, fraudulent, deceptive, or abusive activities.
  • Misuses our systems, services, personnel, or intellectual property.
  • Creates a security or legal risk for Maxzion IT or another party.

Upon termination, the client remains responsible for amounts properly incurred or payable up to the effective termination date.

Changes to Services and Terms

Maxzion IT may modify, discontinue, replace, or update portions of its website, services, pricing, technologies, or service offerings from time to time.

We may also update these Terms & Conditions when necessary to reflect changes in our services, technology, legal requirements, or business practices.

The updated version will become effective when published on this page unless otherwise stated.

Force Majeure

Maxzion IT shall not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government actions, epidemics or pandemics, telecommunications failures, internet outages, cyberattacks, power failures, labor disputes, third-party service failures, or other force majeure events.

Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws of Bangladesh, unless a separate written agreement between Maxzion IT and the client expressly provides otherwise.

Any dispute should initially be addressed through good-faith communication and negotiation between the parties. Where a dispute cannot be resolved amicably, it may be submitted to the competent courts or authorities having jurisdiction under applicable law.

Severability

If any provision of these Terms & Conditions is determined to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable where legally permitted. The remaining provisions will continue in full force and effect.

Entire Agreement

These Terms & Conditions, together with any applicable quotation, proposal, invoice, statement of work, service agreement, or other written agreement, constitute the understanding between Maxzion IT and the client regarding the relevant services.

Failure to enforce any provision does not constitute a waiver of the right to enforce that provision in the future.
